PROBUS SKI LEGENDS BY-LAWS

Approved  September 8, 2025


NAME OF ORGANIZATION
The organization shall be known as Probus Ski Legends, which is a not-for-profit, non-incorporated ski club, that is a sub section of Probus Canada.


PURPOSE AND OBJECTIVES

To provide the opportunity for Probus members to ski together at Public and Private Ski hills in the Collingwood/Blue Mountains area and elsewhere on organized Ski Trips.


MEMBERSHIP

· Any paid-up member of a Probus Club can apply to become a member of Probus Ski Legends and pay the seasonal fee upon acceptance.

· Members ski at their own risk and must sign the waiver included with the membership application, by which they agree to release Probus Ski Legends, its members, Directors and Officers, representatives and volunteers from all liability from participation of the applicants, their family and guests.

· Membership applicants agree to abide by the Probus Ski Legends Code of Conduct as well as the By-laws, Rules and Regulations, policies and protocols of the Ski Clubs we are skiing at. 

· A member in good standing is one who has paid membership dues, submitted the signed waiver, and has not been removed from Probus Ski Legends because of a disciplinary investigation or sanction by the Club.

· Life Membership may be conferred on a member by a majority vote of the Executive Committee. The purpose of conferring a Life Membership is to recognize a club member who has rendered outstanding service to the club. A Life Member shall not be required to pay the annual membership fee and shall enjoy all privileges of membership. No more than 2% of the membership may be Life Members at any given time. 

· If in the opinion of, and after due consideration by the club's Executive Committee, a member who has conducted himself/herself in such a manner as to bring discredit on the club or causes serious discord within the club membership, the Executive Committee shall endeavour to discuss and favourably resolve the issue with the member. Should such discussion be unsuccessful, the member may be asked by the President to resign. Should the member not resign, the Executive Committee, by majority vote, may choose to not accept the renewal of the membership of the member for the following and any subsequent year(s) and no refund shall be returned. 


Fees

· Membership fees will be reviewed each year by the Executive Committee.

· A member in good standing may bring a guest to a private Club and must accompany their guest. The member must advise the Ski Day coordinator of their guest’s name and email address, so they can be included on the list of attendees that is sent to the Private club 2 days prior to the ski day. The guest will pay the Private club fee but will not qualify for the Ski Legends discount, or voucher.
 

EXECUTIVE COMMITTEE

· The Executive Committee shall oversee and manage all business of the Club including approving the budget, authorizing expenditures, investing Club funds and entering into lawful contracts with organizations and individuals.

· Probus Ski Legends shall be managed by the Executive Committee elected at the year-end meeting of the General Committee.

· The Executive Committee will consist of the members holding the positions noted below. 

· Executive members serve on a voluntary basis without remuneration but will be compensated for out-of-pocket expenses which are properly incurred on behalf of Probus Ski Legends.

· Executive Committee members will adhere to the Probus Ski Legends Executive Code of Conduct. 

· Any Executive member may be removed from office for improper conduct or dereliction of duty. Removal shall be decided by an in-camera resolution of the Executive committee 

· In the event an Executive Committee member occupies more than one Committee position, only one such position shall be counted when determining a quorum for the Committee, and the member shall have one vote on the Executive Committee. 


Term of Office

· The term of office for members of the Executive Committee shall be two (2) years. 

· The Executive Committee shall assume office immediately following the year-end meeting of the General Committee at which they are elected/acclaimed and remain in office until replaced.

· If a vacancy occurs for any reason, the Executive Committee may appoint a member of the Club to complete the term of the previous member.

· No term of office of any Executive Committee position shall exceed ten (10) years.


Elections

· Elections for the Executive Committee shall be held every two (2) years at the year-end meeting of the General Committee.

· Eligible individuals interested in standing for election may submit their name and the position they are interested in to the Secretary in advance of the year-end meeting. 

· Elections shall be held if there are more nominees than one for a position. The nominees with the greatest number of votes shall be deemed elected for that position. If the incumbent wishes to remain in a position and no one else is interested, the incumbent is acclaimed.

· Elections shall be held by ballot and counted by two scrutineers appointed at the year-end General Committee meeting

· Should an Executive Committee position become vacant prior to the position’s termination date, the Executive Committee may appoint a club member to serve the remainder of that term. 


Executive Committee Meetings

· Regular meetings, called by the president, will be scheduled monthly excluding July and August.

· Ideally, the next meeting date should be set at the end of each meeting or, at a minimum, at least two weeks in advance of the meeting. 

· Additional meetings may be called by the President or at the request of three or more Committee members.

· Meetings may be in-person or via electronic means provided members are able to interact in real time. The year-end meeting must be an in-person meeting.

· Each Executive member has one vote. There is no proxy voting. 

· Quorum of the Executive Committee shall be a majority of members.

· Executive committee decisions shall be confirmed by resolution passed by a simple majority vote of those present. A tied vote is deemed to be lost.


AMENDMENTS

The club's bylaws shall be reviewed for possible amendments every three years, or sooner if deemed necessary by the Executive Committee. 


GENERAL COMMITTEE

· Probus Ski Legends includes approximately 200 members from area Probus Clubs. Ski Legends seeks representation from each Probus Club to sit on the General Committee. At the year-end general meeting, an Executive is elected/acclaimed. 

· The General Committee meets monthly, excluding the months of July & August, to receive and approve recommendations from the Executive Committee relating to events and activities for the membership. 

· The Executive Committee will meet prior to the General Committee meeting. All General Committee members must be a Probus Club member in good standing and have paid their annual dues.

· Membership and Communications Coordinator.

· Ski Trip and Marketing Coordinator 

· Webmaster Social Media Coordinator

· Clubs Representatives Recruiter

· Social Events Coordinator 

· Ski Days Coordinator


NON-EXECUTIVE POSITIONS

· Club representatives

· Ski trip leaders

· Assistants to executive members
